Udyam Registration (MSME Registration) Online in India
Udyam Registration is the government’s single identity for a micro, small, or medium enterprise. It replaced the older Udyog Aadhaar and EM-II systems from July 2020, and it is now the number that every MSME scheme, priority-sector lending norm, and delayed-payment remedy is keyed to. Without it, a small business is invisible to the MSME framework no matter how small it actually is.
The process is deliberately light. Registration is free, fully online at the Ministry of MSME portal, paperless, and based on self-declaration — investment and turnover figures are pulled from your PAN and GST records rather than uploaded as documents. What you get back is a permanent Udyam Registration Number and an e-certificate with a QR code, which needs no renewal.
This guide covers who can register, how the revised classification limits work, the benefits that actually matter (particularly the 45-day payment rule and its income-tax consequence for your buyers), the exact portal steps, what happens when you outgrow a category, and the housekeeping that keeps the registration accurate.
What is Udyam Registration?
Udyam Registration is the online registration of an enterprise as a micro, small, or medium enterprise under the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006. It is administered by the Ministry of Micro, Small and Medium Enterprises through the Udyam portal, and on completion the enterprise receives a permanent Udyam Registration Number (URN) and an e-certificate.
It is a recognition, not a licence. Udyam does not permit you to trade — that comes from your entity registration and, where applicable, local permissions such as a trade license or Shop & Establishment registration. What Udyam does is place you inside the MSME definition so that the benefits attached to that definition become available.
Anyone running a business can register: a proprietor, a partnership firm, an LLP, a private limited company, a Hindu Undivided Family, a co-operative society, or a trust. The certificate carries a dynamic QR code that resolves to your enterprise page on the portal, which is what buyers and banks use to verify MSME status.
How are enterprises classified as micro, small, or medium?
Classification uses a composite criterion: investment in plant, machinery, or equipment and annual turnover. Both tests must be satisfied for a category — breaching either one moves the enterprise up. The limits were raised with effect from 1 April 2025, roughly 2.5 times on investment and 2 times on turnover.
| Category | Investment limit (indicative) | Turnover limit (indicative) | Typical profile |
|---|---|---|---|
| Micro | Up to ₹2.5 crore | Up to ₹10 crore | Owner-run shops, small workshops, most early-stage service firms |
| Small | Up to ₹25 crore | Up to ₹100 crore | Established manufacturers, growing service and trading businesses |
| Medium | Up to ₹125 crore | Up to ₹500 crore | Mid-market manufacturers and organised service groups |
| Beyond medium | Above ₹125 crore | Above ₹500 crore | No longer an MSME; classification lapses on the portal |
These are the limits notified in March 2025 and effective from the start of FY 2025-26. Classification limits have been revised twice in five years, so treat the table as indicative and confirm the position in force when you file. Export turnover is excluded from the turnover computation for classification purposes.
Who is eligible for Udyam Registration?
Any enterprise engaged in manufacturing, production, processing, preservation of goods, or in providing services can register, provided it sits inside the medium-enterprise limits. There is no minimum turnover, no minimum investment, and no requirement that the business already be profitable.
- Proprietorships — Aadhaar of the proprietor is used (proprietorship registration)
- Partnership firms — Aadhaar of the managing partner (partnership firm registration)
- LLPs and companies — Aadhaar of an authorised signatory, plus entity PAN and GSTIN (company registration, LLP registration)
- Hindu Undivided Family — Aadhaar of the karta
- Co-operative societies, trusts, and societies through an authorised signatory
- Wholesale and retail traders — permitted to register, but for priority-sector lending purposes only
One enterprise files one Udyam Registration. Multiple activities — manufacturing, services, or both — are added inside the same registration rather than by filing again. Trading enterprises should note the narrower position: they can register, but the Ministry has clarified that traders are registered for priority-sector lending access and do not draw the full set of MSMED Act benefits.
What are the benefits of Udyam Registration?
- Standing to file a delayed-payment claim against a buyer through the MSME Samadhaan portal
- Your buyers face an income-tax disallowance if they pay you late (the 45-day rule, below)
- Bank credit to MSMEs qualifies as priority-sector lending, which improves access and pricing
- Eligibility for collateral-free working capital under credit-guarantee schemes, subject to lender appraisal
- Interest-subvention and other Ministry of MSME schemes as notified from time to time
- Vendor registration and reserved procurement share on the Government e-Marketplace (GeM)
- Relief from earnest money deposit and from prior turnover or experience conditions in many government tenders
- Onboarding to TReDS platforms so receivables can be discounted without recourse
- Concessions on trademark and patent official fees for small entities (trademark registration, patent registration)
- A verifiable enterprise identity that large buyers increasingly ask for during vendor onboarding
Scheme eligibility is not automatic — most schemes carry their own conditions, and several benefits are restricted to micro and small enterprises rather than all three categories. Udyam gets you into the room; the individual scheme decides the outcome.
What is the MSME 45-day payment rule?
Section 15 of the MSMED Act sets the outer limit for paying a micro or small supplier. Where there is no written agreement, payment is due within a short window from acceptance of goods or services; where there is one, the agreed date applies but cannot exceed 45 days. Beyond that the buyer owes compound interest, calculated with monthly rests, at a multiple of the RBI bank rate.
The sharper lever is in tax law. Section 43B(h) of the Income-tax Act denies the buyer a deduction for the purchase until the amount is actually paid, where payment runs past the Section 15 timeline. For a buyer that means the expense lands in a later year, so the cash-flow discipline is enforced through their own tax computation rather than through litigation.
Two practical points. First, the relief attaches to micro and small suppliers, not medium ones. Second, the buyer does not need to be MSME-registered for the rule to bite — only the supplier does, which is a direct commercial argument for registering. Unpaid invoices can be referred to the Micro and Small Enterprise Facilitation Council through the Samadhaan portal.
What documents are required for Udyam Registration?
Nothing is uploaded. The portal is self-declaration based and pulls financial data from government databases, so what you need is accurate information rather than a document pack.
- Aadhaar number of the proprietor, managing partner, karta, or authorised signatory
- Mobile number linked to that Aadhaar, for OTP verification
- PAN of the enterprise (or of the proprietor, for a proprietorship)
- GSTIN where the enterprise is liable to register under GST (GST registration)
- Entity details — date of commencement, constitution, and registered address
- Bank account number and IFSC of the enterprise
- NIC codes for every activity the enterprise carries on
- Employee count, split by gender, and social-category details of the promoter
- Investment in plant, machinery, or equipment as per the last filed accounts
Aadhaar and PAN names must match. A mismatch, or an Aadhaar not linked to a working mobile number, is the single most common reason an application stalls at the OTP stage.
How to apply for Udyam Registration online?
- 1.Open the official Udyam Registration portal — udyamregistration.gov.in and no other site
- 2.Choose the option for new entrepreneurs not already registered as an MSME
- 3.Enter the Aadhaar number and name of the proprietor or authorised signatory and validate by OTP
- 4.Select the type of organisation and enter the enterprise PAN, then validate it
- 5.Confirm the ITR and GST filing status the portal fetches against that PAN
- 6.Fill enterprise details — name, plant and office addresses, date of commencement, bank account
- 7.Add every NIC code that describes what the enterprise does, across manufacturing and services
- 8.Declare employee numbers and the investment in plant, machinery, or equipment
- 9.Confirm whether the enterprise is interested in GeM, TReDS, and Samadhaan onboarding
- 10.Accept the declaration and submit with the final Aadhaar OTP
- 11.Download the e-certificate carrying the Udyam Registration Number and QR code
Holders of an old Udyog Aadhaar Memorandum or EM-II registration use the separate migration route on the same portal rather than the new-entrepreneur path. Those legacy registrations ceased to be valid, so a business still relying on a UAM number is, for scheme purposes, unregistered.
What is the Udyam Assist Platform?
The Udyam Assist Platform (UAP) exists for informal micro enterprises that fall outside the GST net and therefore cannot complete a standard Udyam Registration. Registration is facilitated through designated agencies, typically banks and other lenders, and produces a UAP certificate.
A UAP registration is treated as a micro enterprise for priority-sector lending purposes. It is narrower than full Udyam Registration, so an enterprise that does hold GST registration should register on the main portal instead. If your business is GST-exempt today but will cross the threshold soon, plan to move to full Udyam at that point.
How much does Udyam Registration cost?
Nothing. The Ministry of MSME charges no fee for Udyam Registration, for updating it, or for downloading the certificate. The portal states this in terms, and it has also had to warn users repeatedly about lookalike sites that charge for a free service.
| Item | Charged by | Indicative cost |
|---|---|---|
| Udyam Registration | Ministry of MSME | Nil |
| Annual update or detail correction | Ministry of MSME | Nil |
| Certificate download or reprint | Ministry of MSME | Nil |
| NIC code selection and classification review | CA / consultant | Scoped after a short discovery call |
| Lookalike private portals | Third-party websites | Avoid — the official service is free |
The only real cost is getting the inputs right. NIC codes, the investment figure, and the classification that follows from them decide which schemes you qualify for, and correcting them later is more work than setting them correctly the first time.
How long does Udyam Registration take?
For a clean application with a working Aadhaar-linked mobile number and matching PAN, the certificate is generally issued the same day and often within the session. There is no inspection, no officer approval, and no queue in the way there is for a state licence.
Delays are almost always data problems: an Aadhaar OTP that does not arrive, a PAN validation failure because of a name mismatch, or GST records that do not yet reflect a newly issued GSTIN. A brand-new company should have its PAN, GSTIN, and bank account in place before attempting registration.
Does Udyam Registration expire or need renewal?
No. The Udyam Registration Number is permanent and there is no renewal cycle or expiry date. This is a deliberate contrast with the old Udyog Aadhaar system and with state licences such as a trade license, which do run on annual cycles.
What does change is the classification inside the registration. The portal reads your filed income-tax returns and GST returns and updates the micro, small, or medium tag on its own. That makes the accuracy of your own filings the mechanism that keeps the certificate correct — an enterprise that does not file returns can find its classification unable to update, or its registration flagged.
Details that the portal cannot infer — address, bank account, activities, employee numbers — must be updated by you on the portal when they change.
What happens when turnover crosses the MSME limit?
Movement between categories is handled by the portal from your return data rather than by a fresh application. Upward reclassification generally takes effect from the following financial year, and a downward move is recognised from the year after the figures fall, so the enterprise is not whipsawed by one unusual year.
The Act also provides a transition period during which an enterprise that has graduated continues to enjoy the non-tax benefits of its earlier category for a limited time. The length of that window and the exact effective dates have been amended before, so confirm the current position before planning around it.
Crossing the medium limits altogether means the enterprise ceases to be an MSME. That has real consequences on the other side of the table too: your buyers no longer face a Section 43B(h) disallowance on late payment to you, which is worth flagging to a finance team before it surprises them.
How do you update, print, or cancel a Udyam Registration?
- 1.Log in on the Udyam portal using the Udyam Registration Number and Aadhaar OTP
- 2.Choose the update option and edit the fields that have changed
- 3.Correct NIC codes when the business adds or drops a line of activity
- 4.Update the address after a shift of premises, including a change of state
- 5.Refresh employee counts and the investment figure after the year-end accounts are finalised
- 6.Submit with OTP and download the revised certificate
- 7.Use the print or verify option to produce a copy for a bank, buyer, or tender file
- 8.Apply for cancellation where the enterprise has closed or was registered in duplicate
Keep the registered mobile number and email current. Every subsequent update depends on OTP delivery, and a promoter who has changed numbers without updating the portal has to work through the grievance route instead.
What are the common mistakes in Udyam Registration?
- Filing a second registration for the same enterprise instead of adding activities to the first
- Choosing an NIC code that does not describe the actual business, which distorts scheme eligibility
- Registering a trading business and assuming the full set of MSMED benefits follows
- Leaving the investment figure at zero for a service business that does hold equipment
- Using an Aadhaar that is not linked to the mobile number in hand
- Registering through a paid lookalike site instead of the free official portal
- Never updating the address after moving premises, so the certificate contradicts the GST record
- Treating Udyam as a substitute for a trade licence, FSSAI licence, or labour registration
What should you do after Udyam Registration?
- 1.Save the e-certificate and quote the Udyam number on invoices, so buyers know the 45-day rule applies
- 2.Add the MSME status and URN to your vendor-onboarding pack for large customers
- 3.Register on GeM if you intend to sell to government departments or PSUs
- 4.Consider TReDS onboarding if receivables cycles are stretching your working capital
- 5.Keep GST returns and the income tax return current so classification updates cleanly
- 6.Maintain books that support the declared investment and turnover (bookkeeping services)
- 7.Claim small-entity fee concessions when filing IP applications
- 8.Layer the other registrations your activity needs — IEC for exports, FSSAI for food, ISO for tender scoring
- 9.Use the Samadhaan route promptly on a genuinely overdue invoice rather than after a year of reminders
